Requirements for Advertising Agencies

1. Within six months, the advertiser shall have at least three non-affiliated clients for the provision of advertising services for the placement of the Advertising Materials through the VK Advertising System, which is located at https://ads.vk.com/.

2. The Advertiser shall guarantee that it has no budget-forming client (75% of the Advertiser's total turnover).

3. The Advertiser shall guarantee expenditures on media placement (cost of the Services) of at least 100,000 rubles per month excluding VAT.
The advertiser shall comply with the above guarantees for 2 consecutive months.

4. In the event the Company offers it special financial conditions for the provision of the Services, the Advertiser shall not disclose the information about these conditions to third parties. In the event of non-compliance with this clause (the Company becomes aware of non-compliance), the Company has the right to cancel the Contract with the Advertiser in the manner provided for in the Advertising Services Rules available at https://ads.vk.com/documents/agency_rules.

5. The Company has the right to place information about the Advertiser and its clients on the Company's website, including the Advertiser's logo, mention the Advertiser and its clients in research, the media, and also send the Advertiser marketing materials and promotional products. At the same time, the Advertiser shall guarantee that it has the necessary rights and permissions to use such information.

6. If the Company has information about the existence of affiliation under clause 1 of the Requirements, then the Company has the right to suspend the provision of the Services until the Advertiser proves otherwise.

7. In the event of violation by the Advertiser of conditions hereof, the Company has the right to cancel the Contract with the Advertiser unilaterally by sending a notification of such unilateral cancelation at the Company's discretion through the VK Advertising System or by email. The Company will be deemed to have canceled the Contract at the time of sending such notification.

8. The Company does not recognize the following categories of partners as advertising agencies: advertising placement automation systems, advertising services aggregators, targetologists, marketplaces, agencies created for promoting their own goods or services (or goods/services placed on a website associated with the agency), affiliate marketing platforms and CPA networks, etc.
