Exercise Notice has the meaning set forth in Section 3.2(1);

Exercise Notice means the notice respecting the exercise of an Option, in the form set out as Schedule “B” hereto, duly executed by the Option Holder;

Such payment shall be in an amount equal to the product of the number of shares of Common Stock designated in such Warrant Exercise Notice multiplied by the Exercise Price for the Warrants being exercised, in each case as adjusted herein.
Each Token Holder wishing to exercise its Tag-Along Right with respect to all Share Tokens held by such Token Holder shall so notify the selling Party in accordance with Section 7 within an exercise period of 30 days from receipt of the Tag-Along Notice ("Tag-Along Exercise Notice").

If no Tag-Along Exercise Notice is submitted until the expiry of the exercise period, the Tag-Along Right of that Shareholder shall be deemed to have been forfeited (verwirkt; périmé) with respect to this Tag-Along Event.

Exercise Notice shall have the meaning ascribed to such term in Section 2.4.
