Dear Attorney Rose,

Two business days ago, on September 28, 2017, you sent my ofce a number of questions
addressed to Mayor Ken Coekayne as part of an investigation. Notwithstanding the extremely short
turnaround time, 1 indicated that in a show of good faith my client would respond in writing by
Monday, October 2, 2017. You indicated in previous conversations that responding by today was
sufciently timely. This is that response

As a preliminary matter, I do need to address some of the backdrop. First, it is not clear to
me from where your authority arises. You have indicated that the Council has authorized you to
undertake this investigation, but it is not clear to me that the Council has the authority to hire an
outside attorney for this or any other purpose. Acting in good faith, Mr. Cockayne has elected to
respond nonetheless. As a matter of administrative law, however, I would appreciate clarity on the
source of your authority going forward.

Second, I note three points concerning the second paragraph of your letter. I agree with the
soundness of your legal analysis generally. That said, comporting with the timeline on a faceto~
face interview was impossible if Mr. Cockayne was to have legal representation. Insisting on an
interview without sufcient representation and time to prepare with counsel may be lawful, sure~
but doing so lacks legitimacy. In America, we put a premium on letting people be represented by
an attorney.

In addition, Mr. Cockayne strongly believes that you acted inappropriately during a previous
investigation. You know this. He believes your report had factual errors and was biased.
Accordingly, he doesnt trust you to be impartial. The partisan nature ofthe authorization
exacerbates his concern.

Similarly, I do understand that you did not set the timeline herebut moving so quickly is
an ambush. To move so quickly and insist on meeting someone without counsel would be neither
sensible nor fair. Even so, Mr. Cockayne wishes to respond as reasonably as possible under the
circumstances, thus this written exchange,

For these three reasons, although you may legally draw an adverse inference under these
circumstances, doing so lacks legitimacy and fairness.

Notwithstanding these concerns, Mr. Coekaynes responses to the questions are as follows:

Q: On what date didyou receive a requestfrom BEA TRaa'ia to broadcast the proceedings
ofthe City Council?

A: March 16, 2017.

Q: What steps did you take to authorize that broadcast? If_you did not authorize it, why
not?

A: Mr. Cockayne forwarded the request to Corporation Counsel to see whether this could be
done. Steve Gagne was aware of this and kept updated All relevant emails are attached. See
Attachment 1.

On June 7, 2017, Attorney Thomas Conlin, Assistant Corporation Counsel sent a

memorandum asking tor the matter to be put on the next Agenda. See Attachment 2. The
matter was put on the June 13, 2017 Agenda. See Attachment 3. On June 13, 2017, the
matter was unanimously voted on and passed. See Attachment 4. Attorneys were working
with Nutmeg TV at the time to make sure all legal questions were settled and whether
anything further was required.

Q: Did thefact that BEAT Radio allowed Ellen Zupo-Sassa time on the broadcast play a
role in your decision or approval of the project?

A: No. Note that Mr. Cockayne voted inzvor ot approving the radio station and moved
quickly to do so.

Q: Why did you Show Councilman David Preleski the subject photographs ofJodi Zils
Gagne on or about June 13, 201 7?

A: The images conceni Councilmember J. Zils Gagnes membership with her husband,
Steve Gagne, to a website
Visitors can
join for free or choose to pay a membership fee, lmages on the site are generally about as
accessible as those on Facebook or the average dating website. In other words, the site is
open to the public and so are the images.

There is nothing particularly wrong about such membership.

Membership could become a point olembarrassment. Moreover, some members of

the public would make a great deal out oi'sueh membership. This could detract and distract
from the work for the people of Bristol.

Mr. Cockayne was concerned that the open nature of the membership could give rise to
such. Mr. Cockayne became aware ofrumors
and that people in the community were aware oftheir membership
to the website. Mr. Cockayne was worried the issue could be embarrassing the City as well
as to Mr. Cockaynes family, being that Councilmember J. Zils Gagne is his cousin.

At that time, Mr. Coekayne believed Councilmember Preleski was a respected member of
the Council. Accordingly, Mr. Coekayne elected to conde in him on this matter, They
have confided in one another similarly in the past. It was Mr. Cockaynes hope that
Councilmember Preleski could help put an end to people talking about it before rumors
escalated.

Mr. Cockayne hoped Councilmember Preleski would treat the matter discretely. Mr.
Cockayne is disappointed that the matter has been transformed into a political weapon
against him.

Mr. Cockayne has no recollection of showing Councilmember Prelcski the subject images
on or about June 13, 2017. He does recall, however, showing such images on some other
date, perhaps in May, 2017 but he is not precisely certain ofwhenr

Q: On that date (June I3, 2017), did you my to councilman Preleski these are the people
you are defending ? Ifyou did not make that statement (or a statement similar in
substance), what didyou say to Councilman Preleski when you showed thosephotographs?

A: Mr. Coekayne elaborated on his concern about embarrassment and distraction, for his
family and the political process. He does not recall his exact words, but the purpose
underlying his language is explained in the previous response.

Q: How did you obtain the photographs of Councilwoman Zils Gagne?

A: Mr. Robert Testa, a friend of Mr. Cockaynes family, shared the images about 1.5 years
ago. Mr. Tesla indicated he was on a website and saw the images.

Q: On or about September 25, 2017 didyou text "You and Jodi will pay" to Steve Gagne?
Ifso, what was the purpose ofthe communication?

A: Yes. As your question indicates, the quote does not make sense without context. It is a
serious concern that this context was not provided to you as an investigator. Mr. Cockayne
now provides that contextiall relevant text messaging from that day. See Attachment 5.
Mr. Cockayne provides a number of additional texts to give context to the heated nature of
communications between himself and Mr. Gagne. See Attachment 6.

As the messages show, Mr. Cockayne and Mr. Gagne had an extended, testy exchange.
During the exchange, Mr. Gagne seems to threaten Mr. Cockayne, Mr. Cockayne attempted
to terminate the exchange and also wished Mr, Gagne to have a great afternoon.

Mr. Cockayne was informed that Mr. Gagne was texting Mr. Coekaynes mother and sister
were receiving unsolicited texts from Mr. Gagne. Mr. Cockayne informed Mr. Gagne to
stop texting me. This has become harassing. The texts were such that Mr. Coekayne and
his family planned on ling a criminal complaint ifthe texts continued.

This is why Mr. Cockayne responded as he didhe was planning on ling such a report if
the harassment continued However emotional, texting his mother and sister went beyond
the bounds ofdeceney.

The texts to Mr. Cockaynes family can be provided with sufficient notice. Mr. Cockayne
has since learned that similar texts were even sent by Mr. Gagne to the ex-husband oer.
Coekaynes fiance and Mr. Cockaynes brother~in-law, Matthew Lamarre. See Attachment
7.

The abuses continue. Mr. Cocknyne and his family along with Mr. Gagne and
Councilmember J. Zils Gagne attempted to settle the matter peaceably last week. After a
lengthy meeting, it was agreed that everyone would stop posting about the matter publicly
and would encourage each sides supporters to stop as well. Mr. Coekayne was
disappointed that the following momiug, however, when sisters of Councilmember J. Zils
Gagne and Steve Gagne continued, among others.

These are the responses to the questions posed. Although I understand from where concern
arises, it seems to me that the genesis is a family dispute. Mr. Cockayncs political opponents are
forcing a family conict into the political sphere.

Furthermore, Mr. Cockayne is concerned about the process of the investigation. In a

previous investigation, you directed key individuals not to communicate with one another while the
investigation was pending.

In the present case, Councilmembers J. Zils Gagne and D. Preleski, met with you together
and behind closed doors, in executive session, providing an opportunity for them to align stories.
We have since learned that Councilmember Mary Fortier is a witness. She nonetheless participated
in the same executive session, and voted on the matter. The process is disconcerting ab initio.

Coupled with those concerns previously articulated, perhaps a distinct investi

gator, acting
with the liberty to set his or her own timetable, and who is free of the potential appeara
nces of bias

This is what I just sent Cindy: For what it's worth, the show didn't
go the way it was intended to go. Steve Savino booked the guest
and I told them that it's a show about positivity and about Bristol
now and in the future. We only got through half the questions
because they talked for too long. This was our first Round Table
discussion so there is a learning curve for my host. The question
regarding Ken was not asked the way it was written. The question
written as this, "If you were to advise the mayor in helping making
Bristol a better place, what would you advise him on?" The
question didn't come out that way and therefore chaos ensued.
Once they started on Ken, there was nothing I could do in the 1:11 PM
production studio. Mike was supposed to break at 11:20 and
because they kept talking we didn't break until almost 11:30. Mike
is not trained in media interviews and was not comfortable
intervening. We asked the same question regarding the governor
and then we were going to ask the same if the President. I
couldn't just storm into the room and stop everything. I did pass
notes to Mike to rein them in. Mike Nicastro talks a lot and again
it was hard for Mike Anthony to cut him off. Next week we'll have
Tony and Cara and then Art Mocabee on in 2 weeks. There was no
intent to have them bash Ken. I know that they would have
negative opinions, but not to go on for that long.

Hi Steve. Now that I'm home from vacation yesterday had time to
think I wanted to send you one text to express my feelings. This is
not meant to fight just to express my feelings. I hope you and Jodi
are talking about not having an executive session. We had an
agreement that it would stop and we would move past it I've kept
up my end of the bargain and I think the executive session doesn't
hold your end. But more than that is the fact that all in executive
session is going to do will continue this and continue hammering
online from both your supporters into mine who neither of us
control. The only one that wins in this whole thing are the Dems 10:58 AM
who want this to continue. Mark my word they will come out of
executive session even after Jodi says she's done and they will
make a motion for an investigation that continues the story going
in continues both of our supporters hammering each other. Do
you truly believe Zoppo will let them come out of Council and say
it's over goodbye no way in hell ....... if you haven't figured it out
she befriends people she sucks them in like she's there friend she
uses them and spits them out when she's done with them. No one
wins except the Dems with the executive session. That's my

No misunderstanding ... you are correct. The signed addendum to the agreement will allow you to give the
audio feed to the Bristol Beat (my response was based on the fact that we currently don't have a signed
addendum yet).

If the City receives compensation for the recording, then as stated in paragraph 7 of the agreement, "the
Producer shall pay to Nutmeg Television a production fee, the amount of which shall be based on the
prevailing fair market value, at commercial rates, of the production equipment and services provided by
Nutmeg Television and used for the creation of the work". The reason the attorney's wrote this into the
agreement is because no one, not even a nonprofit entity can make a profit or receive any compensation for
works produced with public funding.

Attached, is the quote for a standard City Council Meeting for 5 hours (includes portal to portal
transportation of the equipment) and crew. Let me know if you have questions or what else you might
need.

There is one thing that I'd like to clarify as decisions at the City, regarding an audio feed going over
to the Beat, are made.

The Mayor and the City of Bristol are our clients. That relationship is very important to me and the
Board Directors of Nutmeg 1V as its been long standing for over 25 years.

The Beat contacted us. If the City decides for whatever reason not to provide the feed to them that
is fine with us. If the City wants to provide the feed, we will comply. The reasons to provide or not to
provide will not be discussed by Nutmeg 1V with anyone other than the City or Mayor's office.

Our allegiance is with the City and the Mayor.

it does not make sense for us to broadcast on a delay.

I thought was talking about a remote access for the live feed.

When you first met with us about the potential of the feed on the Beat, you never
referred to a live feed. We talked about Dropbox and file types with Nutmegs Director
of Technology, Chris Bennett. All of Nutmeg TVs discussions, agreements and
amendments to those agreements with the City of Bristol refer to the release of recorded
feeds. Today, when you said you wanted a live feed and you were planning to take it
right off of the Nutmeg TV Channel on Comcast Cable it sets an entirely different set of
issues into motion.

1. Nutmeg TV doesnt have the authority to give the BB permission to take a

feed (audio or video) of our channel off of Comcast Cable.
2. Nutmeg TV cannot be liable or take responsibility for the quality of the feed or
lack of a feed (if Comcast has technical difficulties)

If in fact, you are requesting a live feed, you will need to make that request to
the City who will then need to make that request to Nutmeg TV.

Thank you for your email. We have a change to the request from the Beat that may cause issues.

Steve Savino contacted me today. He mentioned they recevied a letter from the City and that it looked like all
was good to go for the next meeting. I told him that until the signed amendment was returned by the City, we were
unable to release any audio file.

I told Steve that once it passed, Nutmeg TV would discuss with the Beat how to best get them the audio file for
retransmission. He said they wanted the live feed and were planning to take it right off the TV at their studios onto their
internet station. I questioned the quality of the feed and he wasnt concerned. Now, I question the legality of that feed
as it could involve Comcast Cable.

It was not our understanding that this feed would be live from the beginning, when the Beat contacted us or in our
conversations with the City. The Amendment provided to you (attached) refers only to the recorded feed for
retransmission.

We request that you speak with the Mayor about this change and respond back to us. We need to know what
issues the City has with the Beat change and I will then need to take that information to our Board of Directors (who
dont meet again until June 12th) as well as our corporation counsel, John Matulis. We dont have the authority, I dont
believe, to give permission to the Beat to take a feed for transmission off of Comcast Cable, even if it is our channel, and
we cannot accept any liability or responsibility for the potential poor quality of the transmission on the Beat.

As a public service to the area The Beat would like to broadcast Bristol City Council Meetings on our stream
and mobile App. Having the meetings broadcast, on-line and the mobile app, through The Beat will make
the meetings more accessible for those who are not nearby a cable TV and for those who do not own cable
service.

Added with the broadcast the weekly promos will also help with increased awareness.

All we need from the city is permission, because where are getting the audio from, and will start carrying

Let me apologize for not getting back more quickly on the Beats use of the Bristol City Council meeting
recordings. I had a Board of Directors meeting scheduled and I wanted to talk with them about the
invitation. They, like me, were concerned with the copyright issue. Being that the City owns the recording of
the meeting, you'll need to get permission from the Mayor's office on this. If he agrees and you can provide
me something on his letterhead stating I can release the audio file to you, we can talk about how to best
make that happen with the appropriate language that mentions the recording was brought to the listeners by
Nutmeg TV.

I'd like to also talk to you about some other work outside of the Beats but not quite ready. I'll be in touch on
that.
